1. About Optra Labs
Optra Labs is the trading name under which the partners operate and provide the services described in these Terms & Conditions. It is a private technology platform designed to help Singapore SMEs explore grant eligibility, prepare applications, and streamline document workflows. We are not affiliated with or endorsed by GoBusiness, Enterprise Singapore, or any other government agency. Final grant decisions are solely determined by the relevant authorities.

2. Data Collection and Use
When you use our platform, we collect and process certain information to provide, improve, and personalise the service. This includes personal identifiers such as your name, email address, and any contact details you provide. It also includes business information such as your industry, company size, and grant categories of interest. We collect grant application data such as grant types selected, the purpose or reason for application, and related details. In addition, we collect uploaded content such as documents, PDFs, text inputs, and other materials you upload.

This data is used to run eligibility checks, generate draft application documents, improve accuracy of recommendations through our automated feedback loop, and store and analyse data in our secure vector database to refine results and provide context-aware assistance.

Users retain ownership of the content they upload. However, by using the platform, you grant Optra Labs a limited licence to store, process, and use this content to provide and improve the service.

We do not sell your personal data to third parties. Aggregated and anonymised data may be used for analytics and product improvement.

3. User Responsibilities
You are responsible for ensuring the accuracy of the information and documents you provide. You must not upload confidential or third-party materials unless you have the right and authority to do so. You agree not to misuse the platform, including attempts to reverse engineer, disrupt services, or access without authorisation.

4. Platform Guidance and Limitations
Optra Labs provides structured, data-driven guidance to help you prepare, strengthen, and streamline your grant applications. Our outputs, including eligibility insights and draft documents, are designed to reduce complexity and save time. Final approval, however, remains with the relevant authorities, and in certain cases you may still wish to seek independent professional advice.

5. Access and Accounts
Access may be free, trial-based, or paid. We reserve the right to modify, suspend, or discontinue features without notice. Access is personal and non-transferable. We may refuse or terminate access immediately if you breach these Terms or misuse the platform.

6. Payments and Refunds
Payments for access to Optra Labs are securely processed by our payment provider, Lemon Squeezy, who acts as the Merchant of Record. All invoices and receipts will reflect Lemon Squeezy as the seller of record, and their terms and policies may apply in addition to these Terms.

If you subscribe to paid features, fees are displayed at checkout. Unless otherwise stated, payments are non-refundable once access is granted. Promotional or trial access may be withdrawn at our discretion.

7. Data Storage and Privacy
All collected data, including emails, grant types, industries, reasons for applications, and uploaded documents, is securely stored in our systems, including a vector database for retrieval and context matching. Documents may be processed by our automated feedback loop to enhance recommendations. We implement reasonable technical and organisational measures to protect data but cannot guarantee absolute security. Data is retained for as long as necessary to provide the service, and may be retained in anonymised form for analytics and product improvement. You may request deletion of your data, although residual copies or anonymised versions may persist in backups. Data processing is carried out in accordance with our Privacy Policy.

8. Intellectual Property
All platform content, designs, and technology, including models, algorithms, and the vector database, are owned by Optra Labs or its licensors. You are granted a limited, non-transferable licence to use the service for internal business purposes.

9. Service Availability
We aim for high uptime but do not guarantee uninterrupted access. Maintenance, outages, or technical issues may occur. We are not liable for service delays caused by events beyond our control, including force majeure events such as natural disasters, strikes, government restrictions, or internet failures.

10. Disclaimers and Liability
The platform is provided on an “as is” basis. To the maximum extent permitted by law, we disclaim all warranties including accuracy, reliability, and fitness for purpose. We are not liable for indirect, incidental, consequential, punitive, or exemplary damages, including lost profits, lost opportunities, reputational damage, or loss of data.

Our total liability is limited to the fees paid by you in the three months prior to the claim, or SGD 100 if none were paid.

11. Indemnity
You agree to indemnify and hold harmless Optra Labs, its partners, directors, and employees from any claims, damages, or costs arising out of your use of the platform, your content, or your breach of these Terms. This includes claims relating to any documents or data you upload.

12. Amendments
We may revise these Terms from time to time. Updates will be posted with a revised “Last updated” date. Continued use of the platform after changes constitutes acceptance of the new Terms.

13. Governing Law and Dispute Resolution
These Terms & Conditions are governed by the laws of Singapore. Any disputes will be subject to the exclusive jurisdiction of the courts of Singapore. Before litigation, both parties agree to attempt resolution through good-faith negotiation or mediation. You agree to resolve disputes with Optra Labs individually, and not as part of a class action or representative proceeding.

14. Entire Agreement
These Terms constitute the entire agreement between you and Optra Labs and supersede any prior agreements, representations, or understandings.
